1. Acceptance of Terms
By accessing or using SpendReady ("Service"), operated by Fix Your Cloud LLC ("Company", "we", "us"), you ("Customer", "you") agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.
If you do not agree to these Terms, do not use the Service.
2. Description of Service
SpendReady is a Salesforce license optimization tool that connects to your Salesforce organization via read-only OAuth, analyzes user activity and license utilization data, and delivers audit reports to designated recipients. The Service includes:
- Automated weekly audit reports (PDF and web-based)
- License utilization and savings estimates
- Permission set license (PSL) waste detection
- Integration user security monitoring
- Report delivery via email to specified recipients
3. No-Write Guarantee
We never write to, modify, or delete any data in your Salesforce organization.
The Service connects exclusively via read-only OAuth using SOQL SELECT queries. We access only: User records, LoginHistory, UserLicense, PermissionSetLicenseAssign, AuthSession, and OAuthToken objects. We do not access Opportunity, Contact, Account, Lead, custom object, or financial data. Full details are published at getspendready.com/legal/subprocessors.
4. Accounts and Access
- You must provide accurate account information and maintain its accuracy.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must be at least 18 years old and have authority to connect the Salesforce organization you authorize.
- You may revoke the Service's access to your Salesforce org at any time by disconnecting from the dashboard or revoking the Connected App in Salesforce Setup. Revocation does not automatically cancel your subscription.
5. Subscription and Payment
- Plans: The Service is available on monthly and annual subscription plans as described on the pricing page.
- Billing: Subscriptions are billed in advance via Stripe. Your subscription renews automatically unless cancelled.
- Cancellation: You may cancel at any time from your account dashboard. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods.
- Price changes: We will provide at least 30 days' notice of any price increase before it takes effect on your subscription.
- Design Partner Program: Design partner access is provided at no charge for the stated period. Upon expiration, access converts to the standard Monitoring plan at the then-current rate unless cancelled.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Attempt to gain unauthorized access to any part of the Service or its related systems
- Reverse engineer, decompile, or disassemble the Service
- Resell or sublicense access to the Service without written consent
- Use the Service to benchmark against a competitor product and publish the results without written consent
- Upload or transmit malware, viruses, or malicious code
- Interfere with the integrity or performance of the Service
7. Data and Privacy
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. For enterprise customers requiring a Data Processing Agreement (DPA) for GDPR compliance, please request one at privacy@getspendready.com.
We retain audit findings for the duration of your subscription plus 90 days. Upon account deletion or written request, we delete your data within 30 days. Salesforce OAuth tokens are deleted immediately upon org disconnection or account cancellation.
8. Intellectual Property
The Service, including all software, algorithms, reports, designs, and documentation, is owned by Fix Your Cloud LLC and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.
You retain all rights to your Salesforce data. By using the Service, you grant Fix Your Cloud LLC a limited, non-exclusive license to access and process your Salesforce data solely to provide the Service to you.
Report output generated by the Service based on your data is yours to use, share, and act on as you see fit.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Savings estimates provided by the Service are based on Salesforce list pricing and your org's license and usage data. Actual savings depend on your specific contract terms and negotiation outcomes. Fix Your Cloud LLC does not guarantee any specific savings amount.
We do not warrant that the Service will be uninterrupted, error-free, or secure at all times.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIX YOUR CLOUD LLC'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL FIX YOUR CLOUD LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you.
11. Indemnification
You agree to indemnify and hold harmless Fix Your Cloud LLC and its officers, directors, and employees from any claims, losses, damages, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including Salesforce's terms of service; or (d) your connecting a Salesforce organization you are not authorized to connect.
12. Changes to the Service and Terms
We may modify the Service or these Terms at any time. For material changes, we will provide at least 14 days' notice by email or in-app notice. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
13. Termination
Either party may terminate at any time. We may suspend or terminate your access for violation of these Terms, non-payment, or any activity that poses a security or legal risk to the Service or other users. Upon termination, your access ends immediately and we will delete your data per our retention policy.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Texas, and you consent to personal jurisdiction in those courts.
Before filing any legal action, both parties agree to attempt good-faith resolution by email within 30 days.
15. General
- Entire Agreement: These Terms, together with the Privacy Policy and any executed DPA, constitute the entire agreement between you and Fix Your Cloud LLC.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
- Waiver: Failure to enforce any provision is not a waiver of our right to enforce it later.
- Assignment: You may not assign these Terms without our consent. We may assign in connection with a merger, acquisition, or sale of assets.
